If you’ve been exploring ways to diversify your portfolio or wondering what it means to be a wholesale investor, this is the guide for you. Research by Associate Professor Ben Phillips from the Australian National University (ANU) reveals that only 1.4% of Australian households met the criteria for wholesale investor status when the legislation was introduced in 2002. By 2021, this figure had grown to 11.3%, and if the thresholds remain unchanged, it’s projected to rise to an astounding 49% by 2041. Thresholds are however expected to increase.
Wholesale investing offers unique opportunities that are often unavailable to everyday investors. But what exactly does it mean to be a wholesale investor, and how do you qualify? In this blog, we’ll unpack the meaning, outline the criteria to qualify, and explore the benefits of wholesale investing to help you decide if it’s the right path for you.
What is a Wholesale Investor?
A wholesale investor is someone with the financial capacity and acumen to access exclusive investment opportunities, often tailored for HNWIs. These individuals typically meet specific financial criteria, allowing them to access investments that aren’t available to other investors.
Wholesale investors are considered more experienced and knowledgeable, meaning they don’t require the same regulatory protections as retail investors. This opens up opportunities for HNWIs to explore high-return, sometimes higher-risk investments like property development syndicates, private equity, and unlisted funds.
Wholesale Investor Test: Do You Qualify?
To become a wholesale investor, you must meet certain financial thresholds under the Corporations Act 2001 in Australia. These thresholds are designed to ensure that wholesale investors have the financial capacity and experience to engage in exclusive, albeit potentially higher-risk and often less liquid investments.
As mentioned earlier, if no changes are introduced, the number of Australians qualifying for wholesale investor status is expected to rise significantly in the coming decades. With this growing accessibility, understanding the eligibility tests becomes even more important if you want to take advantage of the unique opportunities wholesale investing offers.
When it comes to qualifying as a wholesale investor, the rules might seem a bit complex at first, so let’s walk through it together to make sure we’ve got everything covered.
The Sophisticated Investor Test
Under the Corporations Act 2001, sophisticated investors can access investment opportunities without needing disclosure documents like a prospectus or product disclosure statement, when being offered shares in a company.
To qualify as a sophisticated investor, you must meet one or more of the following criteria:
1.Wholesale Investor Certificate from a Qualified Accountant
You (or your controller, if acting as a company or trust) must obtain a certificate from a qualified accountant.
The certificate confirms that you meet one of the following requirements:
- Gross income of at least $250,000 per year for the last two financial years, OR
- Net assets of at least $2.5 million.
- The certificate must be issued no more than six months before the investment offer.
2. Investment Threshold
You qualify if you’ve invested $500,000 or more in the qualifying shares, either:
- As a single investment, OR
- Including amounts previously invested in the same class of shares with the same company.
3.Previous Investment Experience:
If you don’t meet the financial criteria, you may qualify based on your investment experience.
For this, a financial services licensee must:
- Be satisfied that you have enough experience to assess the offer and the associated risks.
- Get a signed acknowledgment from you, that no disclosure document (e.g., prospectus) has been provided.
4.Professional Investor Pathway:
If you don’t meet the criteria for the wholesale investor test, you may still qualify through the professional investor pathway. You qualify if you:
- Hold an Australian Financial Services License (AFSL), OR
- Control gross assets of at least $10 million, including assets held in trusts or by associates.
Key Benefits of Wholesale Investing

Wholesale investments open the door to opportunities with the potential for exceptional returns, often leveraging unique strategies and exclusive markets designed for experienced investors. These investments cater to those seeking to go beyond traditional options, offering the chance to amplify portfolio growth. However, it’s important to recognise that higher returns come with increased risks.
